HourBack Partner Agreement

The terms for consultancies and service providers that work with their clients through HourBack: approval, client access, branding, referrals and how partnering ends.

Version: 2026-10-31 · Effective date: October 31, 2026

1. Who this is for and how it applies

This Partner Agreement is between HourBack (WonderWorks Group, LLC) and the firm named in the partner portal (the "Partner"). It applies when an admin at the Partner accepts it in the partner portal, and they confirm they are authorized to accept it for the Partner. We record the version accepted, who accepted it and when. A separate partner schedule or order may set fees, revenue share and other commercial terms; where it conflicts with this agreement, the schedule wins for those terms.

Each client signs up with HourBack directly and accepts the HourBack Terms of Service. This agreement doesn't change what HourBack owes a client under those Terms.

2. Approval and the partner program

We review each partner application and may approve or decline it at our discretion. Approval gives the Partner a partner portal where it can add clients, see their pilots side by side, and work in each client's account at the level that client allows. We may change the program's features over time, and will tell partner admins about changes that materially reduce what the program offers.

3. Your people and accounts

4. Access to a client's account

The Partner can work in a client's account only after that client grants access, and only at the level the client chooses: setup and install; reports and plan, with people shown by role only; or everything, including results by name where the client's pilot reports by name. The client can change or remove that access at any time, and sees a record of what the Partner's people view and change.

When using that access, the Partner:

5. Adding and inviting clients

When the Partner adds a client, it confirms that the client expects to hear from HourBack about a pilot and that the contact details it gives are accurate. HourBack emails the client a sign-up link that names the Partner. If the client already has an HourBack account, its admins are asked whether to give the Partner access instead. A client invitation that isn't answered lapses after 30 days.

The Partner doesn't sign up for, accept the Terms for, or choose access levels for a client. The client does that itself.

6. Branding

The Partner may add its name, logo, colour and reply-to address, which HourBack shows in emails to the Partner's clients and in their accounts, and names on their team reports ("Prepared by"). The Partner confirms it has the right to use what it uploads, and grants HourBack a limited licence to show it for these purposes. The Partner may use HourBack's name and logo to describe the partnership, in line with any brand guidance we give, and not in a way that suggests HourBack endorses the Partner's own services.

7. Referrals, resale and fees

Each client relationship is recorded as a referral (the client is billed by HourBack) or resale (the Partner is billed and bills the client), as agreed with HourBack. A company that signs up within 90 days of following the Partner's referral link is credited to the Partner. Revenue share, discounts, billing and payment terms are set out in the partner schedule. Where none is in place, no fees or revenue share are owed either way.

8. Confidentiality, data and security

Each party keeps the other's non-public information confidential and uses it only for the partnership. Client information the Partner sees in HourBack is the client's confidential information; the Partner protects it with reasonable security, at least as carefully as its own confidential information, and complies with data protection laws that apply to it.

The Partner tells HourBack at hello@hourback.io within 48 hours of discovering that someone without permission may have used one of its people's HourBack sign-ins or seen a client's information through it.

9. How you represent HourBack

10. Ending the partnership

Either party may end this agreement with 30 days' written notice. HourBack may suspend or end the Partner's access at once if the Partner breaches sections 4, 8 or 9, or if needed to protect a client or the service. When the partnership ends, the Partner's access to every client account ends; the clients keep their HourBack accounts, pilots and reports, and may work with HourBack directly or with another partner. Sections 4 (use of information), 8, 11 and 12 continue after it ends, as does any revenue share already earned under the partner schedule.

11. Disclaimers and limits on liability

The partner program and portal are provided as they are. HourBack's commitments to clients are in the Terms of Service, not this agreement. To the extent the law allows, neither party is liable to the other under this agreement for indirect or consequential losses, or for more than the amounts paid or payable between them under the partner schedule in the 12 months before the claim. These limits don't apply to a party's breach of section 8, the Partner's breach of section 4, or liability that can't be limited by law.

12. Changes and general provisions

We may publish a new version of this agreement. A new version applies once a partner admin accepts it; until then, the Partner can't add clients or open client accounts. This agreement is governed by the laws of Wyoming, with disputes heard in the state or federal courts there, unless the partner schedule says otherwise. Neither party may assign it without the other's consent, except with the sale of its business. The parties are independent contractors; nothing here makes either the other's agent, except that the Partner acts for its client when using that client's access.
